Online Store Terms and Conditions Sounds Wood

  1. General Provisions, Contact with the Store Owner
  1. These terms and conditions (hereinafter referred to as the “Terms”) set out the rules and conditions for using the Sounds Wood online store, operating at https://www.b2b.soundswood.com.
  2. The owner of the Store is Aurelien Delaunay, an entrepreneur conducting business under the name Sounds Wood Aurelien Delaunay, with its registered office at: Ul. Za Ogrodem 10, 31-990 Kraków Poland, registered in the Central Register and Information on Economic Activity, NIP: 6783040851, REGON: 541234762 (hereinafter referred to as the “Seller”).
  3. The Seller’s contact details are as follows:

  1. Technical Requirements
  1. To use the Store, it is necessary to have:
    i. A computer or other device with an internet browser;
    ii. Access to the Internet;
    iii. An active email address.

III. Personal Data

  1. The administrator of the personal data of the Store’s customers is the Seller.
  2. All information about the processing of personal data of customers and other users of the Store’s website can be found in the Privacy Policy.
  1. Conclusion of the Sales Contract, Customer Account
  1. The Store allows the purchase of goods (hereinafter referred to as “Goods”), displayed on the Store’s website, in two ways:
    i. Without registration;
    ii. By creating an account in the Store.
    In both cases, to place an order, you must select the Goods in the Store, add them to the “Cart” using the appropriate button, and continue with the ordering procedure by selecting the relevant options (delivery and payment method).
  2. Information about the products in the Store, such as descriptions and prices, constitutes an invitation to enter into a sales contract within the meaning of Article 71 of the Polish Civil Code, in accordance with the terms of these Terms.
  3. To place an order, it is necessary to fill in all required data in the order form necessary to fulfil the contract and, if requested by the customer, also the data needed to issue a VAT invoice.
  4. If the customer decides to create an account in the Store (hereinafter referred to as the “Account”), registration is a one-time process, and the email address and chosen password serve as the basis for future logins. Details about the Seller providing the digital service of maintaining an Account are available below in the Account Terms. The Store also allows login to the Account via social media and/or the user’s Google account. After logging into the Account, the customer has access to their order history, and for subsequent orders, they do not need to fill in the order form with their personal data again.
  5. The customer can terminate their Account at any time and without incurring any costs. To do this, they should send a termination request to: info@soundswood.com.
  1. The customer’s confirmation of the order by clicking the “Buy and Pay” button (or another button with the same wording) means:
    submitting to the Seller an offer to purchase the Goods in accordance with the options chosen in the order and with these Terms,
    b. acceptance of the obligation to pay the price of the Goods and the cost of their delivery.
  2. The sales contract (hereinafter referred to as the “Contract”) is concluded when the Seller accepts the order for fulfilment (acceptance of the customer’s offer), which the Seller will inform the customer of via an email confirming the order has been accepted for fulfilment.
  3. If it is not possible to fulfil the order for the Goods (in whole or in part), the Seller will inform the customer of this – in such a case, the Contract will not be concluded. The Seller will also inform the customer of other available options for fulfilling the order, such as partial fulfilment or waiting for the Seller to replenish the stock. If the order has already been paid for by the customer but cannot be fulfilled, the Seller will promptly refund the customer’s payment (in proportion to the scope of the order cancellation).
  4. The Seller will provide the customer with confirmation of the conclusion of the Contract on a durable medium no later than at the time of delivery of the Goods.
  5. The Store is not responsible for the failure to deliver an order or for delays in delivery resulting from the customer providing an incomplete or incorrect delivery address or failing to provide other data necessary to fulfil the order.
  6. The Seller reserves the right to suspend the fulfilment of an order if the customer has provided false data or if the data provided raises justified doubts as to its accuracy. In such a case, the Seller (if possible) will attempt to contact the customer to verify the accuracy of the data provided.
  7. Prices and Payment Methods
  1. The prices of Goods are given in Polish zlotys (PLN) and are gross amounts, i.e., including VAT.
  2. The cost of delivering the Goods is provided separately in the Store’s cart, depending on the delivery method chosen by the customer.
  3. The available payment methods are described on the Store’s website in the “Payment Methods” section and are presented to the customer during the ordering process (in the cart).
  4. The Store offers the following payment methods:
    a. Instant electronic transfer / BLIK / payment via a “virtual wallet” through the payment platform:
  • PayPal
  • Elavon
  • Apple Pay
  • GPay
    b. Payment by card: Visa, Visa Electron, MasterCard, MasterCard Electronic
    c. Cash on delivery (COD)
  1. Delivery of Goods
  1. The delivery of Goods is carried out according to the customer’s choice:
  • via courier service
  • to InPost parcel lockers

Except for Goods collected by the customer in person, the order is considered fulfilled at the moment the parcel is sent to the customer (handed over to the carrier engaged in the transport). The exact actual delivery time is determined by the carrier. Goods are shipped by the Seller within 4 working days, unless a different delivery time is clearly specified in the product description at the time of placing the order. Detailed fulfilment times are provided on the Store’s website in the “Order Fulfilment Time” section. By default, the Seller handles orders within the territory of the Republic of Poland, covering the costs specified on the Store’s website in the “Delivery Time and Costs” section. International shipping is possible, covering the costs specified on the Store’s website or costs individually agreed upon with the customer.

VII. Withdrawal from the Contract

  1. A customer who is a consumer or an entrepreneur as referred to in Article 7aa of the Consumer Rights Act (hereinafter the “Privileged Entrepreneur”) has the statutory right to withdraw from the sales contract for the Goods within 14 days of receiving them, without providing any reason, subject to the exceptions mentioned below.
  2. To meet the withdrawal deadline, it is sufficient for the customer to send, within this period, a statement:
  • electronically to: info@soundswood.com or
  • in writing to: Ul. Za Ogrodem 10, 31-990 Kraków Poland.

The statement of withdrawal from the contract may be made using the template available here, although using this template is not mandatory. The Seller will promptly send the customer a confirmation of receipt of the withdrawal statement via email. Then, within the next 14 days, the customer should return the Goods at their own expense to the following postal address: Ul. Za Ogrodem 10, 31-990 Kraków. The Seller will promptly, and no later than 14 days after receiving the statement of withdrawal from the contract, refund to the customer:

  • the price of the Goods;
  • the cost of the initial shipment of the Goods to the customer, according to the cheapest standard delivery method offered in the Store.
  1. The Seller may withhold the refund until they receive the Goods back or until the customer provides the Seller with proof of returning the item, whichever comes first.
  2. The refund will be made using the same payment methods that the customer used in the original transaction, unless the customer has expressly agreed to a different solution.
  3. The customer is responsible for any decrease in the value of the returned Goods if, before making the statement of withdrawal, they used the Goods in a manner other than what was necessary to establish the nature, characteristics, and functioning of the item.

VIII. Exceptions to the Right of Withdrawal from the Sales Contract for Goods

  1. The right to withdraw from the contract does not apply to contracts for the supply of Goods that are:
    a. Non-prefabricated, made to the consumer’s / Privileged Entrepreneur’s specifications or clearly personalized (customized goods);
    b. Perishable or with a short shelf life (perishable goods);
    c. Supplied in sealed packaging, if the packaging has been opened by the customer and the goods cannot be returned for health protection or hygiene reasons (goods packaged for hygiene reasons);
    d. Audio or visual recordings or computer programs supplied on a tangible medium (e.g., CD) in sealed packaging, if the packaging has been opened after delivery;
    e. Which, after delivery, are inseparably mixed with other goods due to their nature (e.g., building materials once used);
    f. Newspapers, periodicals, or magazines, except for subscription contracts (printed press);
    g. Whose price depends on fluctuations in the financial market over which the Seller has no control and which may occur before the withdrawal period expires;
  1. Alcoholic beverages for which the price was agreed upon at the time of conclusion of the sales contract, the delivery of which can only take place after 30 days, and whose value depends on market fluctuations over which the Seller has no control.
  2. Complaints
  1. The Seller is obliged to deliver the Goods to the customer in accordance with the Contract.
  2. For consumers and Privileged Entrepreneurs, the Seller is liable for the conformity of the Goods in accordance with the provisions of the Consumer Rights Act. For other customers, the Seller is liable under the rules set out in the Civil Code.
  3. Complaints can be submitted:
  • electronically to: info@soundswood.com
  • or in writing to: Ul. Za Ogrodem 10, 31-990 Kraków Poland.

The Seller will consider the complaint in the form in which it was submitted (in writing or by email) within 14 days of receiving the complaint. If dissatisfied with the manner in which the complaint was handled by the Seller, the consumer and the Privileged Entrepreneur may (regardless of ordinary court proceedings) also use out-of-court methods of handling complaints and pursuing claims.

  1. For the above purpose, you can:
    apply to the regional inspector of the Trade Inspection with a request to initiate mediation proceedings for the amicable resolution of the dispute,
    ii. use the assistance of the district (municipal) consumer ombudsman or a social organization whose statutory tasks include consumer protection,
    iii. apply to a permanent consumer arbitration court with a request to resolve the dispute arising from the concluded contract,
    iv. use the ODR (Online Dispute Resolution) platform, which is designed to resolve disputes online between consumers and businesses if the dispute concerns obligations arising from an online contract. More information about the ODR platform can be found here. Note: This platform has not accepted new complaints since March 20, 2025, and its operation will end on July 20, 2025.

  3. Product Reviews
  1. The Store allows customers to add reviews of products (hereinafter “Reviews”).
  2. This functionality is only available if the customer uses an external customer satisfaction/review program.
  3. Reviews added by the customer must be legal within the meaning of the Digital Services Act (DSA) and in accordance with good customs, which means it is prohibited to post Reviews that are:
  • of an unlawful nature;
  • contrary to good customs, in particular: containing offensive, pornographic content, insulting religious feelings, or inciting racial, ethnic, or religious hatred;
  • infringing on the rights of others, including, in particular, property and personal copyright and the right to privacy;
  • containing commercial, advertising content or references to products other than those offered in the Store.

The Seller and/or the provider of the external customer satisfaction/review program may moderate the Reviews, which means that Reviews that do not comply with the Terms will not be published or may be removed.  In the event of a Review being blocked or removed, the Seller will inform the customer of this and provide justification. In such cases, the customer may file an appeal under the procedures described in point X.6 of the Terms.  Appeals regarding decisions about Reviews (hereinafter “Appeal”) can be submitted:

  • or in writing to: Ul. Za Ogrodem 10, 31-990 Kraków Poland.
    The Seller will promptly confirm receipt of the Appeal electronically (if the person submitting the Appeal has provided the Seller with an email address). The Seller will consider the Appeal in the form in which it was submitted (in writing or by email) within 14 days of receiving the Appeal.
  1. Anyone visiting the Store has the right to submit a notification to the Seller (hereinafter “Notification”) if they believe that an illegal Review (within the meaning of the Digital Services Act - DSA) or a Review contrary to the Terms has been posted in the Store. Notifications should be sent electronically to: info@soundswood.com.
  2. The Seller will promptly confirm receipt of the Notification electronically. The Seller will consider the Notification within 14 days of receiving it and provide justification. From the Seller’s decision on the Notification, the person who submitted it may file an appeal under the procedures described in point X.6 of the Terms.
  3. If dissatisfied with the way the Seller resolves the Appeal, the person submitting the Appeal has the option to use out-of-court dispute resolution methods, as outlined in the Digital Services Act (DSA).
  1. The Seller is not responsible for Reviews posted in the Store by customers, provided that:
  • the Seller does not have knowledge that the Review is illegal content;
  • the Seller promptly takes appropriate action to remove or disable access to illegal content once such knowledge or notice is obtained, in particular, the Seller promptly reviews Notifications.
  1. Final Provisions
  1. Polish law applies to the Contracts concluded in the Store. The Contract is concluded in Polish.
  2. None of the provisions of these Terms exclude or in any way limit the rights of the consumer (or Privileged Entrepreneur) arising from applicable law.
  1. The Seller may amend the Terms at any time. Such changes will apply to orders placed after the publication of the new version of the Terms, and in the case of (i) previously concluded contracts for the provision of a digital service or electronic service, as well as (ii) customers with an Account in the Store – the customer will be notified of the change to the Terms and the possibility of not accepting the new content.
  2. These Terms are effective as of May 8, 2025.

Account Terms
in the Sounds Wood Store

  1. General Provisions, Contact with the Seller
  1. These account terms (“Account Terms”) define the rules and conditions for using a customer account (“Account”) in the Sounds Wood online store (“Store”).
  2. These Account Terms constitute the terms and conditions for an electronic service within the meaning of the Act on the Provision of Electronic Services. The Account service is an additional and ancillary service to the Seller’s main business activity, i.e., offering customers the purchase of Goods. The Account service is free of charge.
  3. The Account Terms supplement the Store Terms. In matters not regulated in the Account Terms, the provisions of the Store Terms apply to the Account service.
  4. The Seller’s contact details for matters regarding the Account service are the same as for the Store:

  1. Technical Requirements and Functionality of the Account Service
  1. The technical requirements for using the Account service are the same as for using the Store and are specified in point II.1 of the Store Terms.
  1. By using the Account, the Store’s customer can:
    Save and store their personal data (including the delivery address) in the Account, which enables them to make future purchases in the Store without having to fill in the address form again;
    b. View their order history;
    c. View the status of order fulfilment.

III. Agreement for the Provision of the Account Service, Withdrawal from the Agreement, Account Termination

  1. Creating an Account by the customer is equivalent to concluding an agreement for the provision of an electronic service for an indefinite period. The customer may terminate the Account at any time without providing a reason. To do so, they should contact the Seller electronically at info@soundswood.com. The customer also has the statutory right to withdraw from the agreement for the provision of the Account service within 14 days of its conclusion.
  2. Complaints
  1. For consumers and Privileged Entrepreneurs, the Seller is responsible for the conformity of the Account service with the agreement in accordance with the provisions of the Consumer Rights Act. For other customers, the Seller is liable under the rules set out in the Civil Code.
  2. Complaints regarding the Account service can be submitted to the Seller in accordance with the procedure set out in points IX. 3-5 of the Store Terms.
  3. If dissatisfied with the way the Seller has handled the complaint, there is also the possibility to use out-of-court complaint and redress procedures, in accordance with the procedure described in points IX. 6-7 of the Store Terms.

  1. Full information about the processing of personal data of Store customers, including for the purpose of maintaining the Account, can be found in the Privacy Policy.
  1. Changes to the Account Terms
  1. The Seller may make changes to these Account Terms according to the rules specified in point XI.3 of the Store Terms. If the customer does not accept the new version of the Account Terms, they may terminate the agreement for the provision of the Account service (by contacting the Seller electronically) with a 14-day notice period.

 

Newsletter Terms
in the Sounds Wood store

  1. General Provisions, Contact with the Seller
  2. These newsletter terms (“Newsletter Terms”) define the rules and conditions for the provision of the so-called newsletter service by the Seller (“Seller”) – the owner of the Sounds Wood online store (“Store”).
  3. The newsletter consists of periodic electronic messages sent by the Seller to the email address of a person who has given the appropriate marketing consent (“Subscriber”). These messages contain, in particular, commercial information about the Store and the Seller. They may also contain other content related to the Seller’s activities, the Store’s industry, or educational content that, in the Seller’s opinion, may be interesting and useful for customers or potential customers of the Store (“Newsletter”).
  4. These Newsletter Terms constitute the terms and conditions for an electronic service within the meaning of the Act on the Provision of Electronic Services. The Newsletter service is an additional and ancillary service to the Seller’s main business activity, i.e., offering customers the purchase of Goods. The Newsletter service is free of charge.
  5. The Newsletter Terms supplement the Store Terms. In matters not regulated in the Newsletter Terms, the provisions of the Store Terms apply to the Newsletter service.

  1. Technical Requirements and Functionality of the Newsletter Service
  1. To use the Newsletter service, you need:
    i. a computer or other device with software that enables receiving email messages,
    ii. an active email address,
    iii. access to the Internet.
  2. By subscribing to the Newsletter, the Subscriber has the opportunity to receive email messages from the Seller containing, among other things:
    a. information about new products and promotions in the Store,
    b. discount codes and/or information about other special benefits for Newsletter subscribers,
  1. other content related to the activities of the Store and the Seller, the Store’s industry, or educational content that, in the Seller’s opinion, may be interesting and useful for customers or potential customers of the Store.
  1. The Seller does not guarantee or declare any specific frequency for sending the Newsletter. The timing of sending the Newsletter and the content of the commercial information included in it is decided by the Seller.

III. Agreement for the Provision of the Newsletter Service, Withdrawal from the Agreement, Resignation from the Newsletter

  1. The agreement for the provision of the Newsletter service may be concluded:
    i. when a visitor to the Store fills in the appropriate form on the Store’s website, providing their email address to receive commercial information,
    ii. when placing an order in the Store – if the customer, in the Store’s cart, consents to receiving commercial information by checking the appropriate checkbox.
  2. The Seller may – as an incentive to subscribe to the Newsletter – offer potential Subscribers a bonus (a gift, so-called lead magnet) in the form of a discount code, digital content (e.g., a free e-book), or another benefit for the subscriber related to the Store’s activities (e.g., a one-time free delivery of Goods) (“Bonus”). Information about the Bonus granted in connection with the Newsletter subscription will be provided on the Store’s website.
  1. The Bonus is provided to the Subscriber at the email address provided during the subscription, promptly after the conclusion of the agreement for the Newsletter service. The Bonus is made available in the appropriate digital form (e.g., a link to download an e-book, a discount code, or a code to be entered in the appropriate field in the Store’s cart to receive free delivery).
  2. The agreement for the provision of the electronic Newsletter service is concluded for an indefinite period. The Subscriber may unsubscribe from the Newsletter at any time without giving a reason. To do so, they should:
    click on the appropriate link included in every message sent as part of the Newsletter, or
    b. contact the Seller electronically.
  3. The customer also has the statutory right to withdraw from the agreement for the provision of the Newsletter service within 14 days of its conclusion.
  4. The Seller may stop providing the Newsletter service at any time, and all Subscribers will be notified of this.
  5. If the Subscriber does not open the messages sent by the Seller as part of the Newsletter for more than 3 years, the Seller (with additional prior notice) will stop providing the Newsletter service to that Subscriber.
  6. Complaints
  1. For consumers and Privileged Entrepreneurs, the Seller is responsible for the conformity of the Newsletter service with the agreement in accordance with the provisions of the Consumer Rights Act. For other customers, the Seller is liable under the rules set out in the Civil Code.
  2. Complaints regarding the Newsletter service can be submitted to the Seller in accordance with the procedure set out in points IX. 3-5 of the Store Terms.
  3. If dissatisfied with the way the Seller has handled the complaint, there is also the possibility to use out-of-court complaint and redress procedures, in accordance with the procedure described in points IX. 6-7 of the Store Terms.

  1. Full information about the processing of personal data of Store customers, including for the purpose of providing the Newsletter service, can be found in the Privacy Policy.
  1. Changes to the Newsletter Terms
  1. The Seller may make changes to these Newsletter Terms according to the rules specified in point XI.3 of the Store Terms. If the Subscriber does not accept the new version of the Newsletter Terms, they may terminate the agreement for the provision of the Newsletter service with a 14-day notice period (by contacting the Seller electronically) or with immediate effect (in the manner specified in point III.3 of the Newsletter Terms).
